does this service work overseas or just within the U.S. ...'m overseas (Germany) and would like to know before I buy the module to keep OnStar working w/ aftermarket head units.

No it doesn't. The OnStar Service works using wireless phone networks (along with GPS) in the continental United States, Alaska, Hawaii and Canada. OnStar services are not available overseas.

I heard that on star locates your car via the cell phones systems (towers) kind of like the same way they do so for 911 cell phone calls. I didn't know they had GPS.

OnStar works on the Verizon wireless phone system. It has GPS for numerous reasons:
One, if the air bags are deployed, OnStar will attempt to call the occupants of the vehicle. If there is no answer, they will dispatch an emergency crew to the location given by the GPS.
If a vehicle is stolen, and OnStar has not been deactivated, they locate the vehicle with GPS.
If you pay for the additional services, they can actually direct you to your destination, or help you get back on track if you are lost. Again, they note your location via GPS.
They DO NOT randomly track you to see where you are. They will only give location information to the person in the vehicle, or to a police agency. They will not locate the vehicle for a wife or husband looking for their spouse. They do not sit around wondering where you are and tracking your movement.

OnStar Anecdote:

I knew an engineer working at Hughes Electronics when GM bought them. He was sent to a transition meeting and was excited about prospects for integrating Hughes technology into cars; communication, navigation, traffic enhancement, etc. The first question from the GM people was: "Will your system let us disable a car by satellite if the payment is late?"
